Welcome to Tupo Works (“Tupo Works,” “Platform,” “we,” “us,” or “our”). These Terms & Conditions (“Terms”) govern your access to and use of the Tupo Works website, applications, and related services (collectively, the “Services”).
By accessing or using the Services, you agree to be legally bound by these Terms.
If you do not agree, you must not use the Platform.
- Nature of the Platform
Tupo Works is a technology marketplace that connects independent professionals (“Freelancers”) with individuals or businesses seeking services (“Employers”).
Tupo Works:
- Does not provide professional services directly
- Is not a party to contracts formed between Employers and Freelancers
- Does not guarantee project outcomes or service quality
All service agreements are entered into solely between Employers and Freelancers.
- Eligibility & Account Registration
To use the Platform, you must:
- Be at least 18 years of age
- Have legal capacity to enter binding contracts
- Provide accurate, current, and complete information
You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.
Tupo Works reserves the right to suspend or terminate accounts that violate these Terms.
- User Roles
3.1 Freelancers
Freelancers agree to:
- Provide truthful credentials and qualifications
- Deliver services professionally and lawfully
- Comply with licensing and regulatory requirements
- Meet agreed timelines and deliverables
Freelancers act as independent contractors at all times.
3.2 Employers
Employers agree to:
- Provide accurate task descriptions
- Communicate respectfully
- Make payments in accordance with agreed terms
- Comply with applicable laws and tax obligations
- Fees, Payments & Escrow
- Platform service fees, commissions, or subscriptions may apply.
- Payments may be processed through approved third-party providers.
- Where escrow services are available, funds may be held until milestone or task completion.
- Users are responsible for taxes applicable in their jurisdiction.
Tupo Works reserves the right to modify pricing structures with prior notice.
- Prohibited Activities
Users may not:
- Post fraudulent or misleading tasks
- Misrepresent identity or qualifications
- Circumvent platform payment systems
- Engage in harassment, discrimination, or unlawful conduct
- Upload malicious software or harmful content
Violation may result in account suspension or permanent removal.
- Intellectual Property
All Platform content, trademarks, branding, and software are owned by Tupo Works and protected by intellectual property laws.
Unless otherwise agreed:
- Freelancers retain ownership of their work product
- Employers receive rights as defined in their service agreement
Users may not copy, distribute, or exploit Platform materials without written consent.
- Disputes Between Users
Tupo Works encourages amicable dispute resolution between Employers and Freelancers.
Where applicable, Tupo Works may:
- Review communication records
- Temporarily hold disputed payments
- Provide limited mediation support
However, Tupo Works is not obligated to arbitrate disputes and is not liable for contractual breaches between users.
- Platform Availability
We strive to maintain continuous service but do not guarantee uninterrupted access.
Tupo Works may:
- Modify features
- Suspend maintenance operations
- Restrict access where necessary
We are not liable for downtime, data loss, or technical interruptions beyond reasonable control.
- Limitation of Liability
To the maximum extent permitted by law:
- Tupo Works shall not be liable for indirect, incidental, special, or consequential damages
- We do not guarantee income, project success, or hiring outcomes
- Use of the Platform is at your own risk
- Indemnification
Users agree to indemnify and hold harmless Tupo Works, its directors, officers, affiliates, and employees from claims arising out of:
- Breach of these Terms
- Violation of laws
- Disputes with other users
- Misuse of the Platform
- Data Protection & Privacy
Use of the Platform is subject to our Privacy Policy.
Tupo Works processes personal data in accordance with applicable data protection laws, including international standards where applicable.

- Termination
Tupo Works may suspend or terminate access if:
- Terms are violated
- Fraudulent activity is suspected
- Legal compliance requires action
Users may close their accounts subject to outstanding contractual obligations.
- Amendments
We may update these Terms periodically. Continued use of the Platform constitutes acceptance of revised Terms.
- Governing Law & Jurisdiction
These Terms shall be governed by applicable laws in the jurisdiction of Tupo Works’ primary operations, without regard to conflict-of-law principles.
Any disputes shall be resolved in competent courts within that jurisdiction unless otherwise required by mandatory law.
